What is a Recruiter Terms of Business?
A legal agreement between a recruitment agency and a client employer that defines fee structure, payment terms, the off-limits period, and how disputes are resolved. It crystallises your fee the moment you make the introduction — protecting against backdoor hires and non-payment.
When must it be signed?
Before you submit any candidate. Under the Employment Agencies Act 1973 and Conduct Regulations 2003, the terms must be agreed in writing before the introduction is made. A ToB signed after submission has reduced legal force in a fee dispute.

Fee crystallisation on introduction, off-limits period (typically 12 months), backdoor hire definition, rebate schedule (pro-rata over 8–12 weeks), payment terms (14–30 days net), and substitution rights for IR35-aware engagements.
